1. Introduction

Welcome to Embrs. These Terms and Conditions ("Terms") govern your use of the Embrs application ("App") and any related services. By accessing or using Embrs, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the App.

2. User Accounts

  • Registration: To use certain features of Embrs, you may be required to create an account. You agree to provide accurate, current, and complete information during registration and to keep that information up to date.

  • Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

  • Termination: We may suspend or terminate your account at any time, with or without notice, if we believe you have violated these Terms or engaged in conduct that may harm Embrs or other users.

3. Use of the App

  • License: Embrs grants you a limited, non-exclusive, non-transferable, and revocable license to use the App solely in accordance with these Terms.

  • Restrictions: You agree not to:

    • Use the App for any unlawful purpose.

    • Reverse engineer, decompile, or disassemble the App.

    • Modify, adapt, or hack the App to falsely imply an association with Embrs.

    • Use automated systems or software to extract data from the App.

Acceptable use of the App may also be governed by additional guidelines, rules, or policies that we make available within the App from time to time.

4. User Content

  • Responsibility: You are solely responsible for your User Content, including any audio, music, or sound incorporated into it. You represent that you have all rights necessary to upload and share such content and that your User Content does not infringe the rights of others or violate applicable laws, including copyright and trademark laws.

  • Ownership and License: You retain ownership of the content you create, upload, or share through Embrs ("User Content"). By using the App, you grant Embrs a worldwide, non-exclusive, royalty-free license to host, use, reproduce, distribute, and display your User Content solely for the purpose of operating, maintaining, and improving the App.

  • Removal of Content: Embrs may remove, disable, or restrict access to any User Content that we believe, in our reasonable discretion, violates these Terms or the rights of others.

5. Intellectual Property

  • Ownership: Embrs and its licensors retain all rights, title, and interest in and to the App, including all software, code, designs, graphics, trademarks, and logos.

  • Restrictions: You may not use Embrs intellectual property without prior written permission, except as necessary to use the App as permitted by these Terms.

6. Payments and Subscriptions

The Embrs app does not currently offer in-app purchases, subscriptions, or paid upgrades through the iOS app.

In some cases, access to Embrs may be provided through an organization, program, or service arrangement established outside of the app. Any such arrangements are governed by separate terms and are not purchased, billed, or managed through the iOS app.

7. Privacy

Your use of Embrs is governed by our Privacy Policy, which explains how we collect, use, and protect your personal information. By using the App, you consent to the practices described in the Privacy Policy.

8. Limitation of Liability

  • No Warranties: The App is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied. We do not guarantee that the App will be error-free, secure, or continuously available.

  • Limitation: To the maximum extent permitted by law, Embrs and its affiliates will not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or related to your use of the App.

9. Indemnification

You agree to indemnify, defend, and hold harmless Embrs, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses, including reasonable attorneys’ fees, arising out of your use of the App, your User Content, or your violation of these Terms.

10. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice through the App or by other reasonable means. Your continued use of the App after the changes take effect constitutes acceptance of the revised Terms.

11. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the App shall be subject to the exclusive jurisdiction of the state or federal courts located in Delaware.

12. Arbitration and Class Action Waiver

  • Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the App shall be resolved by binding arbitration on an individual basis, except where such arbitration is prohibited by applicable law.

  • Waiver of Jury Trial: You and Embrs knowingly and voluntarily waive any right to a jury trial.

  • Exceptions: Either party may seek injunctive or equitable relief in court for claims related to intellectual property misuse or unauthorized access to the App.

13. Copyright and DMCA Policy

  • User Responsibility: You are responsible for ensuring that any copyrighted material included in your User Content is properly licensed or otherwise permitted by law.

  • Takedown Policy: We may remove or disable access to allegedly infringing content upon receipt of a valid notice or at our discretion.

  • Repeat Infringers: Accounts of users who repeatedly infringe intellectual property rights may be suspended or terminated.

14. App Store and Third-Party Terms

If you access the App through the Apple App Store or Google Play Store, you acknowledge that these Terms are between you and Embrs only, not Apple or Google. Apple and Google have no responsibility for the App, its content, or any maintenance or support services.

Embrs Terms Summary

You are responsible for what you post, including music and video. You own your content but grant Embrs permission to host and display it to operate the App. Do not upload content you do not have the rights to. The App is provided as is. Disputes are resolved through arbitration, not class action lawsuits.
